Article 1

Definitions
1.1 These Terms and Conditions apply to all agreements with Miss Design and all promises, written or spoken, by Miss Design.
1.2 The terms in these terms and conditions below will be defined as follows:
Customer: the person or entity assigning Miss Design to change, design and/or place a web site on the Internet and/or the maintenance of a new or existing website owned by the Customer;
Agreement: The agreement to deliver the service;

Article 2

General
2.1 These conditions apply to every offer, quote and agreement with Miss Design and Customer to which Miss Design has declared that these conditions apply, unless both parties agree differently in explicitly and in writing.
2.2 These conditions also apply to all agreements with Miss Design, for which the execution requires the involvement of third parties.
2.3 Differentiating from these conditions can only be agreed upon in writing and solely apply to the specific agreement to which the differentiations apply.
2.4 The applicability of sales or other agreements of customer and/or third parties are explicitly rejected.
2.5 Even if one or more terms in these conditions are invalid or destroyed, the other conditions in these Terms and Conditions still apply in full. Miss Design and Customer will consult to come to a new agreement or to replace the invalid or destroyed terms. The goal of the original terms will be applies as good as possible.

Article 3

Propositions and Offers
3.1 Offers by Miss Design are without restriction, subject to errors and changes in price, and can be withdrawn by Miss Design within five days after acceptance.
3.2 All by Miss Design issued offers are valid up to 14 days after the signed date on the offer.
3.3 Prices in the propositions and offers exclude VAT and other taxes which apply for governmental reasons, including possible costs which have to be made for the agreement, including shipping, handling and administration costs, unless otherwise stated.
3.4 In case Miss Design accepts an assignment and Customer agrees in writing using the by the customer signed offer, the last by Miss Design issued offer will change into the new agreement with the specifications and price indications in the offer of the by Miss Design to be developed website and/or offered services.
3.5 If an assignment is accepted by Miss Design without having an offer by Miss Design beforehand, an agreement is only made after confirmation in writing by Miss Design of acceptance of the assignment or if the execution of the assignment takes place through which acceptance of the assignment is explicitly made clear.
3.6 Miss Design has the right to refuse or cancel any assignment, also after acceptance, if it is in violation of law or morals, due to (possible) violation of the good name and honor of Miss Design or due to uncertainty with regards to terms in article 3.4.
3.7 A combined price indication does not obligate Miss Design to perform part of the assignment for a part of the price indicated by the price indication.
3.8 Offers and propositions do not automatically apply to future assignments.
